User Agreement / Terms and Conditions
PLEASE READ CAREFULLY. THESE TERMS INCLUDE IMPORTANT LIMITATIONS OF LIABILITY, A RELEASE OF CLAIMS, A COVENANT NOT TO SUE, AN INDEMNITY, AND DISPUTE RESOLUTION TERMS THAT AFFECT YOUR RIGHTS.
This User Agreement / Terms and Conditions (the “Terms”) is a binding agreement between you and UniverseMT Corp., doing business as Universe Money Transfer. (“Universe”, “UMT”, “we”, “our” or “us”), and governs your access to and use of our website, mobile application, support channels, dealer network, and all related products, features and services (collectively, the “Application”). By accessing or using the Application or requesting, funding, receiving or authorizing any remittance, transfer or related service (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Application or the Service.
1. Acceptance; Scope; Electronic Contracting
You acknowledge that these Terms are presented electronically and that your click, tap, account registration, login, continued use of the Application, funding of any transaction, or other electronic assent constitutes your signature and acceptance.
These Terms apply to every account, inquiry, transaction, attempted transaction, refund request, cancellation request, use of a payout location, use of a dealer, and all related communications between you and Universe.
You consent to receive agreements, disclosures, notices, receipts, statements, alerts, error notices, legal notices, amendments, and other communications electronically, including by email, SMS, push notification, in-app message, website posting, or other electronic means permitted by law. You are responsible for maintaining current contact information and for ensuring that you can access and retain electronic records.
Our electronic records, logs, authentication records, transaction records, communications, and screenshots shall be admissible in evidence and, absent manifest error, shall be conclusive evidence of the matters they record.
2. About Universe and Nature of the Service
Universe Money Transfer, operated by UniverseMT Corp., is registered as a money service business with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) under registration number C100000708.
FINTRAC registration means only that the business has satisfied the legal requirements to register. It does not mean that FINTRAC endorses, recommends, guarantees or licenses the Service as a product.
The Service facilitates remittances and related value transfer arrangements. In providing the Service, Universe may use one or more operational settlement methods, including banks, payment processors, foreign exchange providers, digital asset or stablecoin conversion, wallet infrastructure, regulated or other approved trading platforms, authorized dealers, payout partners, correspondents, agents, contractors, affiliates and service providers located in Canada or internationally.
You expressly authorize Universe to determine, in its sole discretion, the operational route, counterparties, technical infrastructure, timing, order of steps, and settlement method used to complete a requested transaction.
Universe is not a bank, trust company, credit union, deposit-taking institution, escrow agent, fiduciary, securities dealer, securities marketplace, investment adviser, or custodian for you unless we expressly agree otherwise in writing. Funds delivered to Universe are not deposits, are not held in trust for you unless mandatory law requires otherwise, and are not insured by the Canada Deposit Insurance Corporation or any similar scheme.
3. No Stored-Value Account; No User Wallet; In-Transit Funds Only
Your relationship with Universe is transaction-specific. You do not open or maintain with Universe any CAD wallet, stored-value account, deposit account, payment account, securities account, custody account, or similar arrangement for future use.
You may not preload funds with Universe for general future use, maintain an available balance with Universe, schedule future-dated transfers using a stored balance maintained by Universe, or demand withdrawal of funds on request as if Universe were holding an account for you.
Any funds sent to Universe are sent together with transaction-specific instructions for a specific requested transaction and are treated by Universe as dedicated to that transaction. Any time funds remain with Universe for screening, compliance, fraud review, operational processing, reconciliation, settlement, investigation or return processing, those funds are not available to you for alternative withdrawal or alternative transfer.
Any digital assets, stablecoins, wallets, blockchain addresses, exchange accounts, pooled accounts or other settlement infrastructure used by Universe or its service providers are used as operational infrastructure only. Except to the extent required by mandatory law, you do not acquire any ownership, security interest, claim, entitlement, voting right, custody right or beneficial interest in any such asset, wallet or account.
4. Eligibility; Registration; Security
You must be at least eighteen (18) years old and legally capable of entering into binding contracts to use the Application or the Service. By using the Service, you represent and warrant that you satisfy these requirements.
You must provide complete, current and accurate information at all times, including information about yourself, your funding source, and each recipient. You must promptly update any information that becomes inaccurate or incomplete.
You are solely responsible for maintaining the confidentiality and security of your username, password, device credentials, one-time passcodes, email account, mobile number and any other authentication factors associated with your use of the Application.
Any use of the Application, any transaction instruction, and any communication sent through your account, device, email, phone number or credentials will be deemed authorized by you unless and until you notify us and we have had a reasonable opportunity to act.
We may suspend, restrict or terminate any account, refuse any registration, or require enhanced authentication or manual review at any time.
5. Funding Instructions and Transaction Authorization
You fund transactions from your own financial institution or other approved payment source using methods made available by Universe from time to time, including Interac e-Transfer, wire transfer or other approved methods. You initiate funding through your own financial institution or other approved channel. Universe does not collect or use your online banking credentials to access your bank account.
By requesting or funding a transaction, you authorize Universe to receive your funds, verify your identity and transaction details, screen the transaction, convert currency, purchase, sell, transfer or otherwise use digital assets or other settlement assets as part of the operational settlement process, appoint and instruct third parties, pay service charges, and take any steps Universe considers necessary or desirable to process, complete, reject, reverse, investigate, return or recover the transaction.
You represent and warrant that you are the lawful owner of, or have all necessary authority to use, the funding source and funds used for each transaction and that the funds are not subject to any lien, dispute, fraud, chargeback, clawback or unauthorized use.
We may decline to accept any funding method, funding source or transaction at any time in our sole discretion.
A quote or estimate displayed in the Application is not binding until accepted by Universe and may expire, change or be withdrawn at any time before acceptance or execution.
6. Recipient Information; Payout; Transaction Finality
You are solely responsible for the accuracy, legality and completeness of all recipient, beneficiary, pickup, account, wallet, routing, contact and payout information that you provide. Universe may rely entirely on the information you provide without independent verification.
Recipients, beneficiaries, dealers or payout partners may be required to provide identification, proof of entitlement, transaction reference information, source of funds information or other documentation before payout. Universe may impose additional conditions or change payout methods without prior notice where required for legal, compliance, operational or risk reasons.
A recipient who chooses to receive funds in a different currency, by a different method, through a different channel, or subject to any additional local service must enter into a separate arrangement with the applicable third party. Universe is not responsible for any such separate arrangement.
Unless mandatory law provides otherwise, a transaction is deemed completed and final when Universe or its service provider has made the funds, value, payout instruction or settlement proceeds available to a dealer, payout partner, correspondent, intermediary, recipient or beneficiary, or has otherwise taken the last operational step Universe considers necessary to complete the requested transfer.
Once a transaction is completed or treated by Universe as final, it is irrevocable and non-refundable except to the extent required by mandatory law or expressly agreed by Universe in writing.
7. Compliance; Verification; Source of Funds; Sanctions; Reporting
Universe may, at any time and without liability, require information, documentation and explanations from you, a recipient, a beneficial owner, a funding source provider, or any other relevant person in order to satisfy legal, regulatory, sanctions, anti-money laundering, anti-terrorist financing, anti-fraud, cyber-security, anti-bribery, consumer protection, tax, risk management or internal policy requirements.
You authorize Universe and its service providers to collect, verify, use, retain and disclose information about you and your transactions from and to banks, financial institutions, payment processors, mobile carriers, credit bureaus, identity verification providers, watchlist providers, government databases, blockchain analytics providers, dealers, payout partners, law enforcement agencies, regulators and other third parties, as permitted or required by law.
You represent, warrant and covenant that: (a) all funds and assets involved in a transaction are from lawful sources; (b) no transaction will violate any applicable law, sanction, embargo, court order or regulatory requirement; (c) you are not using the Service on behalf of any other person unless disclosed to and accepted by Universe; (d) neither you nor, to your knowledge, any recipient or relevant counterparty is a prohibited or sanctioned person; and (e) the transaction does not involve fraud, deception, tax evasion, money laundering, terrorist financing, sanctions evasion or any unlawful activity.
Universe may reject, block, freeze, hold, delay, reverse, cancel, investigate or report any transaction or account, and may decline to provide any explanation where disclosure is prohibited, inappropriate or undesirable in Universe’s judgment.
Universe may file reports with FINTRAC or other regulators or authorities, make voluntary disclosures, respond to production orders, court orders or other legal demands, cooperate with investigations, and place or maintain holds on funds or information without notice to you.
8. Fees; Foreign Exchange; Pricing; Third-Party Charges
You agree to pay all service charges, exchange rate spreads, network fees, dealer fees, payout charges, taxes, assessments, administrative charges and other amounts associated with your use of the Service.
Foreign exchange rates offered through the Service may include a spread above Universe’s or its counterparties’ wholesale or benchmark rate, and such spread may be retained by Universe and/or its counterparties as revenue in addition to any stated service charges.
The amount made available to a recipient may be affected by exchange rates, local taxes, local fees, correspondent charges, payout partner charges, rounding, minimum payout rules, legal restrictions or other deductions outside Universe’s control.
Universe may change pricing, corridors, payout methods, fee schedules, and exchange rate methodology at any time, with or without notice, except where notice is required by law.
9. Timing; Availability; Delays; No Guarantee
Any delivery time, payout time, settlement time or availability estimate provided by Universe is an estimate only and not a guarantee. Processing and payout speed may vary based on corridor, amount, funding source, banking hours, weekends, holidays, sanctions checks, fraud review, exchange availability, network congestion, blockchain or wallet issues, market conditions, payout partner capacity, recipient compliance checks, local law, operational outages and other factors.
Universe does not guarantee continuous, uninterrupted or error-free access to the Application or Service, the availability of any specific corridor, country, dealer, exchange, payout partner, wallet infrastructure, or payout method, or the continued availability of any specific settlement route or feature.
Universe may modify, suspend, discontinue, add or remove any feature, country corridor, payout method, dealer, partner or operational process at any time without liability.
10. Cancellations; Refunds; Reversals; Unclaimed Transfers
You may request cancellation of a transaction by contacting Universe. A cancellation request is only a request and does not become effective unless and until Universe confirms cancellation.
Universe may refuse cancellation if a transaction has already been accepted, screened, priced, converted, transmitted, settled, delivered, made available for payout, or otherwise progressed beyond the point at which Universe considers cancellation operationally feasible.
Where Universe agrees or is required by law to provide a refund, Universe may deduct or retain, to the maximum extent permitted by law, any non-recoverable service charges, exchange rate spreads, foreign exchange losses, third-party costs, network fees, dealer charges, taxes, assessments, legal costs, return fees, investigative costs and administrative charges incurred in connection with the transaction.
If a funding transaction is reversed, dishonoured, clawed back, disputed, returned, rejected or not finally settled for any reason, you remain fully liable to Universe for the transaction amount and all related costs. Universe may cancel the associated transaction, recover funds or value from any person, and exercise rights of reimbursement and set-off.
If a transfer remains unclaimed or cannot be completed or refunded for reasons outside Universe’s control, Universe may treat the transaction as pending, canceled, returned or abandoned, in its discretion and subject to applicable law.
Transactions not collected or canceled within one (1) year after the send date may incur a non-refundable administration charge of up to fifty cents (CAD $0.50) per month, not exceeding forty-two dollars (CAD $42.00), inclusive of applicable taxes, deducted from the transfer amount.
11. Fraud; Scams; User Error; Recipient Risk
Sending money is like sending cash. Once a transaction is completed, recovery may be impossible or impracticable. You must send funds only to persons and entities you know and trust and only for lawful purposes.
Universe is not responsible for losses arising from impostor scams, social engineering, coercion, romance scams, purchase scams, phishing, account takeover, malware, family pressure, misunderstanding, recipient dishonesty, beneficiary disputes, mistaken identity, duplicate instructions or any other fraud, scam or mistake, whether or not Universe provided warnings or educational materials.
If you provide incorrect recipient information, send funds to the wrong person, are induced by a scam, or later regret a transaction, you bear all resulting risk and loss except to the extent mandatory law expressly provides otherwise.
You must promptly notify Universe if you believe a transaction, account or instruction may be unauthorized, fraudulent, mistaken or compromised. Universe may, but is not obliged to, attempt recovery, reversal or mitigation.
12. Third-Party Service Providers; Dealers; International Processing
Universe may use affiliates and third parties to perform any aspect of the Service, including identity verification, fraud screening, payments, messaging, foreign exchange, digital asset transactions, settlement, wallet services, cloud hosting, communications, customer support, payout, collections and compliance.
Universe may appoint dealers, payout partners, agents, correspondents and contractors in Canada and internationally. Such persons may act in their own name, in the name of Universe or in the name of another service provider.
To the maximum extent permitted by law, Universe is not liable for the acts, omissions, insolvency, interruption, delay, refusal, misconduct or failure of any bank, financial institution, exchange, wallet provider, dealer, payout partner, correspondent, telecom provider, utility, internet provider, regulator or other third party, even if used by Universe in connection with the Service.
Third-party terms, conditions, rules and operating requirements may apply to parts of the Service, and you agree to comply with them where applicable.
13. No Advice; No Fiduciary Relationship; No Securities or Investment Service
The Service is a remittance and related settlement service only. Nothing in the Application, any quote, marketing material, communication or transaction screen constitutes legal advice, tax advice, accounting advice, investment advice, securities advice, foreign exchange advice, or a recommendation to buy, hold, sell or use any security, derivative, currency, digital asset or payment instrument.
Any digital assets or stablecoins used in connection with settlement are used solely as operational components of the Service. Unless Universe expressly agrees otherwise in writing, you are not opening a brokerage account, custody account, wallet service, trading account or securities account with Universe, and Universe is not acting as your fiduciary, trustee, investment manager, dealer, marketplace operator or adviser.
Universe owes you no fiduciary duty, duty of best execution, duty to obtain the best rate available in the market, duty to segregate specific operational assets for your benefit, or duty to continue any particular payout method, dealer, partner or operational structure.
14. User Representations; Warranties; Covenants
For each use of the Application and each transaction, you represent, warrant and covenant that: (a) you have full legal capacity and authority to enter into and perform these Terms; (b) all information provided by you is true, accurate and complete; (c) you have all required consents to provide recipient or third-party personal information; (d) the transaction is lawful and does not infringe the rights of any other person; (e) the recipient and the purpose of the transfer are genuine; (f) you will not use the Service to hold value for speculative purposes or to access Universe’s operational settlement infrastructure except as part of a bona fide remittance or other permitted transfer; and (g) you will comply with all applicable laws and these Terms.
You acknowledge that Universe relies on the foregoing representations, warranties and covenants in deciding whether to provide the Service and in allocating risk under these Terms.
15. Privacy; Data Use; Monitoring
All personal information collected through the Application or the Service is subject to Universe’s Privacy Policy, currently available at https://universemt.com/privacy-policy/, as updated from time to time.
Without limiting the Privacy Policy, you agree that Universe may monitor, record, review, retain and disclose your use of the Application, communications, device data, geolocation data, IP addresses, authentication data and transaction data for legal, compliance, fraud prevention, security, quality assurance, product improvement, dispute resolution and enforcement purposes.
You acknowledge that your information may be processed, stored and accessed outside Canada and may be disclosed to third parties located in other jurisdictions where protections may differ from those in your home jurisdiction.
16. Intellectual Property; Acceptable Use; Restrictions
The Application, including all software, designs, text, graphics, trademarks, service marks, logos, compilations, interfaces, audio, video and other content, is owned by Universe or its licensors and is protected by intellectual property laws.
You may use the Application only for lawful purposes and only in accordance with these Terms. You may not copy, reverse engineer, scrape, crawl, frame, mirror, interfere with, disrupt, test vulnerabilities of, overload, bypass security for, create derivative works from, or otherwise exploit the Application or any part of the Service except as expressly permitted by law and only to the minimum extent so permitted.
Universe may monitor, restrict, block or terminate any use of the Application that Universe considers abusive, unlawful, fraudulent, suspicious, competitive, harmful or inconsistent with these Terms.
17. RELEASE OF CLAIMS; COVENANT NOT TO SUE; PAST, PRESENT AND FUTURE MATTERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU IRREVOCABLY RELEASE, WAIVE, DISCHARGE AND FOREVER HOLD HARMLESS UNIVERSE, ITS AFFILIATES, SUBSIDIARIES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, DEALERS, PAYOUT PARTNERS, AGENTS, CORRESPONDENTS, SERVICE PROVIDERS, LICENSORS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “UNIVERSE PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, COMPLAINTS, PROCEEDINGS, DAMAGES, LOSSES, LIABILITIES, COSTS AND EXPENSES OF EVERY KIND, WHETHER DIRECT OR INDIRECT, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, MATURED OR UNMATURED, EXISTING NOW OR ARISING IN THE FUTURE, ARISING OUT OF OR RELATING TO: (A) THE APPLICATION OR THE SERVICE; (B) ANY TRANSACTION OR ATTEMPTED TRANSACTION; (C) ANY RECIPIENT, BENEFICIARY, DEALER, PAYOUT PARTNER OR THIRD PARTY; (D) ANY SCREENING, HOLD, DELAY, REJECTION, DISCLOSURE, INVESTIGATION, REPORT, FREEZE, BLOCK OR RETURN; (E) FOREIGN EXCHANGE, DIGITAL ASSET OR STABLECOIN CONVERSION, SETTLEMENT OR MARKET MOVEMENT; (F) FRAUD, SCAMS, USER ERROR, MISTAKEN RECIPIENT INFORMATION OR UNAUTHORIZED ACCESS; OR (G) ANY FACTS, ACTS, OMISSIONS, EVENTS OR TRANSACTIONS OCCURRING BEFORE, ON OR AFTER THE DATE YOU ACCEPT THESE TERMS.
WITHOUT LIMITING THE FOREGOING, AS A CONDITION OF USING OR CONTINUING TO USE THE SERVICE, YOU AGREE NOT TO COMMENCE, MAINTAIN, PARTICIPATE IN, FUND, ASSIST OR ENCOURAGE ANY CLAIM, COMPLAINT, ARBITRATION, CLASS PROCEEDING, REPRESENTATIVE PROCEEDING, REGULATORY COMPLAINT FOR PRIVATE REDRESS, OR OTHER ACTION AGAINST ANY UNIVERSE PARTY IN RELATION TO ANY MATTER RELEASED UNDER THESE TERMS, EXCEPT TO THE EXTENT SUCH WAIVER IS PROHIBITED BY MANDATORY LAW.
You acknowledge that this release and covenant not to sue are fundamental elements of the bargain between you and Universe, that Universe would not provide the Application or the Service on the same terms without them, and that the release survives termination of these Terms and completion, cancellation or failure of any transaction.
Nothing in this Section limits any right that cannot lawfully be waived under mandatory applicable law.
18. Limitation of Liability; Exclusive Remedy; Disclaimer of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE UNIVERSE PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR AGGRAVATED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, EXPECTED SAVINGS, REPUTATION OR USE, ARISING OUT OF OR RELATING TO THE APPLICATION, THE SERVICE OR ANY TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE UNIVERSE PARTIES ARE NOT LIABLE FOR LOSSES OR DAMAGE ARISING FROM OR RELATING TO: USER ERROR; RECIPIENT ERROR; FRAUD OR SCAMS; DELAYS; SERVICE OUTAGES; CYBER INCIDENTS; INTERNET, TELECOM OR DEVICE FAILURES; BANK, EXCHANGE, BLOCKCHAIN, WALLET OR Payout PARTNER FAILURES; COMPLIANCE HOLDS; GOVERNMENT ACTION; CHANGES IN LAW; MARKET VOLATILITY; FOREIGN EXCHANGE MOVEMENTS; LOSS OF DIGITAL ASSETS USED AS OPERATIONAL INFRASTRUCTURE; OR THE ACTS OR OMISSIONS OF ANY THIRD PARTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR ANY AMOUNT THAT MANDATORY LAW REQUIRES TO BE REFUNDED OR REMITTED, THE AGGREGATE LIABILITY OF ALL UNIVERSE PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO ANY SINGLE TRANSACTION OR SERIES OF RELATED EVENTS SHALL NOT EXCEED THE LESSER OF: (A) CAD $50; AND (B) THE SERVICE CHARGES ACTUALLY PAID BY YOU TO UNIVERSE FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM.
Any remedy expressly provided by Universe in these Terms is exclusive and in lieu of all other remedies, except to the extent prohibited by mandatory law.
19. Indemnity; Reimbursement; Set-Off
You shall defend, indemnify and hold harmless the Universe Parties, on a full indemnity basis, from and against any and all claims, demands, investigations, proceedings, judgments, settlements, losses, liabilities, fines, penalties, taxes, interest, costs and expenses (including legal fees and disbursements) arising out of or relating to: (a) any transaction requested, funded, received or purportedly authorized by you; (b) your breach of these Terms; (c) any inaccuracy, omission or misrepresentation in information provided by you; (d) any fraud, scam, dispute, chargeback, reversal, clawback or unauthorized transaction involving your account, device, credentials or funding source; (e) any allegation that a transaction infringed any person’s rights or violated any law; (f) any act or omission of a recipient, beneficiary, dealer, payout partner or person claiming through you; or (g) Universe’s enforcement of these Terms or protection of its rights.
Your indemnity obligations are independent of, and in addition to, the release, covenant not to sue and limitation of liability provisions in these Terms, and survive termination indefinitely.
You must reimburse Universe immediately on demand for any amount owed under these Terms. Universe may set off any amount you owe against any amount Universe or any Universe Party may owe to you now or in the future.
20. Dispute Resolution; Arbitration; Class Waiver
Before starting any formal proceeding, you must first give Universe written notice of the dispute and a reasonable opportunity of at least thirty (30) days to investigate and attempt informal resolution.
If you are not a consumer for the purposes of applicable consumer protection law, or if mandatory law otherwise permits, any dispute, claim or controversy arising out of or relating to these Terms, the Application, the Service or any transaction shall be resolved exclusively by confidential binding arbitration before a single arbitrator seated in Calgary, Alberta, in English, under the Arbitration Act, (Alberta). Judgment on the award may be entered in any court of competent jurisdiction.
Except where prohibited by mandatory law, you waive any right to commence or participate in any class, representative, collective or private attorney general proceeding and agree that any arbitration or proceeding must be conducted only on an individual basis.
Nothing in these Terms is intended to prevent a consumer from exercising any non-waivable right under applicable consumer protection law to commence an action in court or participate in a class proceeding. To the extent mandatory law gives you such a right, this Section shall be read down and applied only to the maximum extent permitted. After a dispute arises, the parties may agree to submit the dispute to arbitration or another procedure to the extent permitted by law.
If arbitration is unavailable or not enforceable for a particular dispute, then, subject to any non-waivable rights you may have, the parties attorn to the exclusive jurisdiction of the courts of Calgary, Alberta.
21. Limitation Period
To the maximum extent permitted by law, you must provide Universe with written notice of any claim within thirty (30) days after the event or facts giving rise to the claim first occur or first become known to you, whichever is earlier, and any claim arising out of or relating to these Terms, the Application, the Service or any transaction must be commenced within one (1) year after the claim arises, failing which the claim is permanently barred.
Where mandatory law prohibits the shortening of a limitation period or imposes a different period, the mandatory period will apply only to that extent.
22. Suspension; Termination; Changes to the Service or Terms
Universe may suspend, restrict or terminate your access to the Application or the Service, cancel pending transactions, refuse new transactions, close your account, remove corridors, change payout methods or modify the operational structure of the Service at any time, with or without notice, in its sole discretion.
Universe may amend these Terms at any time by posting an updated version on the Application or by otherwise providing electronic notice. The updated Terms become effective at the time stated by Universe. Your continued access to or use of the Application or Service after the effective time constitutes acceptance of the updated Terms.
If you do not agree to any amendment, your sole remedy is to stop using the Application and the Service.
23. General Terms
These Terms, our Privacy Policy, any transaction receipt or confirmation, and any additional terms expressly incorporated by reference constitute the entire agreement between you and Universe concerning the Application and the Service and supersede all prior or contemporaneous understandings relating to the same subject matter.
If any provision of these Terms is held invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permitted by law and otherwise severed, and the remaining provisions shall continue in full force and effect.
No waiver by Universe of any right or provision shall be effective unless in writing and signed by Universe. Any waiver shall apply only to the specific instance stated and shall not constitute a continuing waiver.
Universe may assign, transfer or novate these Terms, in whole or in part, without notice to you. You may not assign, transfer or delegate any right or obligation under these Terms without Universe’s prior written consent.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law rules, subject always to any non-waivable rights under applicable law.
The headings in these Terms are for convenience only and do not affect interpretation. The words “including”, “includes” and similar expressions mean “including without limitation”.
The release, covenant not to sue, limitation of liability, indemnity, dispute resolution, limitation period, privacy, intellectual property, reimbursement, set-off and all other provisions that by their nature should survive will survive termination or expiration of these Terms.
